By registering an account, subscribing to our plans, connecting APIs, or utilizing any services provided on www.wabamanager.com or its associated subdomains (including app.waba-manager.com), you (“User”, “Client”, or “Customer”) explicitly agree to be legally bound by these Terms and Conditions. Please review them with extreme care. If you do not accept these terms in their entirety, you must immediately cease all access and use of the Platform.
- Eligibility and Platform Use
- Age Requirement: Users must be at least 18 years of age and possess the legal authority to enter into binding commercial contracts under applicable jurisdictions.
- Lawful Business Purposes: The Platform may only be utilized to conduct legitimate, lawful business communications.
- Strict Prohibition of Abuse: Users are strictly barred from utilizing our communication channels, automation engines, or APIs to transmit spam, unsolicited broadcasting matrices, speculative financial promotions, fraudulent schemes, unauthorized religious content, or materials violating Meta’s baseline structural policies.
- Suspension Authority: Any violation of this section gives us absolute authority to immediately and permanently terminate user account access, forfeit all remaining wallet balances or subscriptions, and report malicious conduct to local regulatory bodies without warning or liability.
- Compliance with Meta Platforms Inc. Rules
- Independent Framework: WABA MANAGER integrates directly with the WhatsApp Business API hosted by Meta Platforms Inc. Users explicitly acknowledge that this integration requires strict compliance with Meta’s Business Policies, Commerce Policies, and technical WhatsApp API Terms.
- Zero Liability for Enforcement Actions: WABA MANAGER exerts zero control over Meta’s internal compliance sweeps, review matrices, quality score assignments, or account enforcement behaviors.
- The Meta Exemption: If Meta restricts, flags, lowers your messaging tier capacity, or permanently bans your WhatsApp Business Account (WABA) or registered phone numbers, WABA MANAGER and Business Mind Marketing FZ LLC are completely absolved of all legal or financial liability. No service disruptions or financial damages caused by Meta’s independent decisions shall entitle the User to any form of refund, compensation, or legal remedy.
- Account Setup, API Onboarding, and Meta Verification
- User Onboarding Responsibilities: To unlock messaging functionality, the User must successfully fulfill all Meta infrastructure requirements:
- Complete our internal dashboard registration.
- Successfully execute the Embedded Signup flow to link their number.
- Connect a valid, funded payment method within their own Meta Business Manager console (business.facebook.com) to cover direct Meta messaging consumption fees.
- Manually complete the secondary Phone API Registration step through the WABA MANAGER console using a secure 6-digit PIN.
- Supply and upload a minimum of two valid corporate documents (e.g., commercial trade license, valid VAT registration certificate, utility bill, or corporate certificate of incorporation) to clear Meta Business Verification.
- Timeline Disclaimer: Users acknowledge that Meta’s document review typically takes up to two business days but may be extended or delayed solely at Meta’s discretion. WABA MANAGER provides the onboarding interface but gives no warranty regarding Meta’s approval timelines.
- Message Volume Allocation & WhatsApp Tiers
- Initial Limitations: Upon initial number deployment, Meta restricts unverified sandboxed accounts to a baseline limit of 250 messages per day. Following successful Meta Business Verification, this tier shifts to 1,000 messages per day.
- Scalability: Higher messaging limits (10,000, 100,000, or unlimited daily conversations) are governed entirely by Meta’s automated quality score algorithms, which monitor recipient spam feedback. WABA MANAGER does not control, accelerate, or guarantee scalability transitions across these tiers.
- Third-Party Integrations, Google Sheets, and Automation Guardrails
The Platform provides deep automation connectors, including bi-directional integrations with Google API services (Google Sheets and Google Drive). When deploying these integrations, the User agrees to the following structural limitations:
- Strict Database Schema Mapping: Users may only map external spreadsheet columns to existing data structures or custom fields explicitly registered inside the WABA MANAGER panel first.
- The Auto-Save and Keystroke Release: Google Sheets utilizes an automated, real-time character saving layout. WABA MANAGER processes rows based on configuration guidelines designated by the User. WABA MANAGER is completely indemnified against accidental messaging triggers, half-written data transmissions, or overlapping campaign executions caused by the User editing, typing, or moving data grids inside a live synced spreadsheet. * User Duty to Implement Guardrails: The User bears sole operational responsibility for establishing strict gatekeeper columns (e.g., configuring data validation dropdown statuses like Draft / Send Now) to protect their business operations from accidental auto-save triggers.
- Rate-Limit Failures: Google restricts spreadsheet API traffic to set quotas (typically 60 requests per minute per individual workspace). While our system uses data chunking and queue backoffs, WABA MANAGER is not responsible for delayed messages, synchronization drops, or API data blocks resulting from the User overloading Google’s structural system boundaries.
- Generative AI Chatbots & Conversational Flows
- Operational Nature of LLMs: WABA MANAGER incorporates advanced Artificial Intelligence utilities and Large Language Model (LLM) APIs (including OpenAI and third-party cloud brains) to drive smart automation scripts, lead captures, and interactive chat flows.
- The AI Hallucination Waiver: The User explicitly recognizes that generative AI engines can experience unexpected behavioral deviations or produce inaccurate outputs, commonly known as hallucinations.
- Absolute AI Indemnity: WABA MANAGER and Business Mind Marketing FZ LLC shall not be held liable for conversational outputs generated by an AI chatbot setup. The User assumes 100% legal, commercial, and operational liability for the behavior, language, pricing quotes, or text generated by their AI setups. It is the User’s absolute duty to supervise, test, and bound their automated chat flows.
- Digital E-Commerce and In-Chat Shopping Catalogs
- Inventory Accuracy Responsibility: WABA MANAGER enables automated product catalog synchronization by reading product data grids (SKUs, titles, image URLs, and stock counts) from a User’s linked database or spreadsheet and converting them into native Meta Commerce matrices.
- Transaction and Content Liability: The User is solely responsible for ensuring pricing integrity, legal product representation, product availability, and regional regulatory compliance for items synced to WhatsApp. WABA MANAGER is completely insulated from customer-facing disputes, incorrect pricing displays, or fulfillment failures arising from broken database links or outdated catalog rows.
- Subscription Framework, Wallet Charges, and Strict No-Refund Policy
- Fee Structure: Access to our software services requires an active, paid tier plan subscription. Outbound messaging costs, template fees, or conversation-based charges will utilize a dedicated in-app wallet management utility or direct credit card processing.
- Strict No-Refund Mandate: All financial transactions, platform activations, subscription payments, and wallet recharges processed through WABA MANAGER are 100% final. We enforce a zero-exception NO REFUND policy under all circumstances, including instances of Meta account suspension, client operational user error, connection drops, or immediate account termination for policy violations.
- Subscription Cancellations: Users may terminate their platform renewals at any time directly through their dashboard account options or by issuing a written request to support@wabamanager.com.
- The 15-Day Notification Buffer: Cancellation notifications must be submitted at least fifteen (15) calendar days prior to the next scheduled automated billing cycle date. Failure to provide this 15-day buffer will result in the automated processing of the next scheduled renewal charge, which shall remain entirely non-refundable.
- Platform Free Trials and Performance Warranties
- Evaluation Limitations: We may distribute a 14-day promotional free trial with restricted feature sets to allow platform evaluation. Activation of a paid subscription tier upon trial conclusion rests solely at the User’s commercial discretion.
- Downtime and System SLA Disclaimer: While we deploy high-grade, encrypted cloud hosting structures to secure our network operations, WABA MANAGER does not claim, promise, or guarantee 100% seamless server uptime, uninterrupted API transmissions, or complete bug-free operations. Our software infrastructure is supplied on an “As-Is” and “As-Available” structural basis.
- Protection of Intellectual Property
- Ownership Framework: All system code, software architectures, frontend dashboard designs, layout matrices, prompt configurations, brand markers, logos, and digital text components present on the WABA MANAGER platform constitute the exclusive intellectual property of Business Mind Marketing FZ LLC.
- Prohibited Exploitation: Users are legally barred from copying, extracting, caching, distributions, translating, or reverse-engineering any software branch, system script, or interface tool belonging to the Platform.
- Definitive Limitation of Liability
To the maximum boundary permitted under applicable law, Business Mind Marketing FZ LLC, its directors, officers, employees, and authorized agents shall not be held liable for any direct, indirect, accidental, special, punitive, or consequential corporate damages whatsoever, including but not limited to:
- Total loss of business revenue, commercial profits, operational data, goodwill, or corporate opportunities.
- Disruption of communications, server downtime, or transactional message drops.
- Meta platform bans, number suspension costs, or hardware connection losses.
- Erroneous automated actions executed by user-configured AI setups, third-party webhook integrations, or spreadsheet synchronization scripts.
- Governing Law and Dispute Resolution Jurisdiction
These Terms and Conditions shall be systematically governed, read, and interpreted in strict alignment with the federal laws of the United Arab Emirates (UAE). Any legal action, commercial dispute, or contractual disagreement arising directly or indirectly out of these terms shall fall under the exclusive jurisdiction of the competent courts of the United Arab Emirates.
- Structural Adjustments to Terms
WABA MANAGER retains the unrestricted right to modify, adapt, or completely overhaul sections of these Terms and Conditions at any stage without issuing prior individual warnings. Revised versions will go live instantly upon being uploaded to this URL. A User’s continued interaction with Platform control panels after an update constitutes full, binding legal validation of the modified Terms and Conditions.
